Further to the Company's goal of enhancing shareholder value through new ventures and activities (including ventures both complementary to the existing core activities, as well as ventures designed to broaden the Company's revenue sources), Shefte presented a proposal from a business consulting entity. The consulting proposal was extensive and thoroughly supported with specific ventures and strategies to grow the Company's revenues and shareholder base . Consideration for the services provided would be in the form of sale-restricted (Rule 144) common stock shares (not to exceed 5% of the total float), which stock shares would be held by the Company pending performance obligations of the business consulting group. In respect of the benefits of this transaction to the Company's operations, value and shareholders, the Board unanimously approved the execution of a term sheet with authorization to work together with the business consulting group to finalize a long-form agreement and otherwise commence activities.
