$FNMA (b) The execution and delivery of this Agreement by Seller does not, and the consummation by Seller of the transactions contemplated by this Agreement will not, require any consent,

approval, authorization, waiver or permit of, or filing with or notification to, any governmental

authority or any other person, except for such as have already been obtained.
