but I am at a loss to understand your remedy beyond filing the SEC complaint and asking for an investigation. The bylaws of your company clearly stipulate that there are only two voting BOD. Obviously filed long before there was ever a Punch TV, they remain binding in effect since they were properly filed with the SEC.

In short, you do not seem to posses the authority to take any substantive action without the collaboration of the other voting member (this might be more important to you in the coming days).
