How I understand the SEC and Code of Ethics, is that the company adopts their own internal Code of Ethics. If someone in that company believes someone else in the company is violating that code of ethics, they report that to the SEC. It's not that JC is claiming SS broke the SECs code of ethics,which is what I thought it originally meant. I have to sign a code of ethics where I work.
