I think going to the SEC with ethics concerns and voting out the CEO are two completely separate matters. The SEC is not going to get involved in the internal part.

Who has controlling power? The Board of Directors. Who's on the Board? We need to know to understand the way a vote would go down. Someone might end up on the side lines with their shares and no job.
