Law360 (August 4, 2025, 10:14 PM EDT) -- Guided by Perkins Coie LLP and Brownstein Hyatt Farber Schreck, Verb Technology Co. Inc. announced Monday a $558 million private placement deal to stockpile the Telegram-afflilated TONcoin token.
The social commerce tech company will rebrand as TON Strategy Co. and become the first publicly traded treasury reserve of TONcoin, with buy-in from Reed Smith LLP-led Kingsway Capital and other institutional and cryptocurrency investors. TONcoin is the native cryptocurrency for blockchain TON, which stands for "the open network."
Kingsway founder and CEO Manuel Stotz, the incoming executive chairman of TON Strategy, said permanent capital vehicles are "particularly suitable" for long-term holdings of $TON. Kingsway was advised by Verb's placement agent Cohen & Co. Capital Markets, which is represented by Morgan Lewis & Bockius LLP.
