Yes he has Donald R Keer PE Esq, out of Pa.
Securities Fraud (Section 10(b) of the Securities Exchange Act and Rule 10b-5)
Securities fraud involves deceptive practices in connection with the sale or purchase of securities,
Self-Dealing and Breach of Fiduciary Duty.
As CEO David owes fiduciary duties of loyalty and care to Univec and its shareholders. Issuing himself 1.1 billion shares at a fraction of their market value could constitute self-dealing.
He obtained them for $0.00001 per share when UNVC was trading at $0.058 to $0.062.
Also at the time he obtained the shares he never owned 55.6% of the company, so not sure how it was approved by share holders or the Board of Directors.
I was merely pointing out what possibly could happen, if a merger were to take place and the reason I think a partnership is more feasible.
From Davids disclosures on page,18 of the Form 10-K/A David/President is the single largest shareholder of Univec, owning 39.4% of the outstanding common stock of Univec as of August 31, 2004
