Three questions: (1) Would a company have to post a material event if the material event caused licensing discussions to take place, and with that, an NDA?

(2) Does an NDA because of negotiations take away the requirement to disclose a material event?

(3) In any event would great results from a mouse study be considered a material event?

It seems to me that the material event would be an inked licensing deal and would require disclosure at that time. But I don't know much about these requirements and am open to opinions about this.
