The Nasdaq has different listing requirements for different types of companies and markets:
Nasdaq Capital Market:
Companies can list on the Nasdaq Capital Market by meeting the requirements of one of three standards: equity, market value, or net income. All standards have some requirements in common, such as having at least one million publicly held shares, 300 shareholders, and three market makers.
Nasdaq National Market:
Companies must meet certain quantitative requirements to list on the Nasdaq National Market, such as having a minimum bid price of $5, net tangible assets of $6 million, and a public float of $1.1 million. Companies that don't meet the quantitative requirements may still be able to list if they meet other requirements, such as having a market capitalization of $75 million.
Nasdaq Global Market:
Companies must meet certain requirements to list a primary equity security on the Nasdaq Global Market, such as having a bid price of at least $4 per share, and at least 1.1 million unrestricted publicly held shares.
Diversity:
Companies with more than five board members must have two members from an underrepresented group, including one woman and one person who self-identifies as Black, Hispanic, Asian, Native American, Alaskan Native, Native Hawaiian, Pacific Islander, biracial, or LGBTQ+.
