There is no SEC violations for informing shareholders that the company is under an NDA with a private or public entity or they are in a quiet period and can't disclosure any details.
In fact the SEC encourages companies to do just that because they want as much transparency as possible to shareholders even if it's just to say we can't say anything right now.
