Two years ago almost to the day... "the Nader" was dragged into court...accused of "jumping the gun" on a "short swing" transaction...essentially selling before the six month window of opportunity. They were looking for disgorgement.
The options and warrants granted by Cytodyn was "approved by the board of directors and only required a majority of the five...Butt,...as it turns out there was only four in attendance...three acquiesced, so he beat them with the SEC Rule 16b-3(d)\(1) which provided exemption to the normal rule.
Nader got 2 Million shares...ended up selling a total of 5 Million shares for "a significant profit"
Interestingly,... Nader didn't vote. Who were the directors?.
The plaintiffs: Alpha Venture Capital Partners LP...Caracciolo Family Trust...401K Members Profit Sharing...Gavin Meyers...Martin Peterson... 13D membership? YES...just a little Bad Blood.
