I'm definitely voting YES on increasing the share count. If they don't have enough shares for any deals they may need to make, we shareholders will be screwed. As much as none of us want to see more dilution, we have no other choice but to vote yes if we want the company to be able to operate.

As far as compensation: I'm going to look at that more closely but I am inclined to vote NO on compensation to send them a message.
