Most corporations have an indemnity agreement that has the company provide lawyers for lawsuits against senior executives and the board of directors. I would guess that is the basis for NP's claim.

However, most of those agreements also carve out willful misconduct and gross negligence. I would guess that CYDY believes that the carve out applies in this instance.

We would have to review the actual agreement to see what the actual language is in this instance.
