"has gross negligence or willful misconduct or in the event of Amarex's material breach of the confidentiality provisions of this Agreement."

Sounds to me like Amarex could have gotten away with liability not to exceed what they were paid but chose to screw up beyond that provision and now is on the hook possibly for far more. they did commit gross negligence.
