He's admitting that he isn't buying any shares for cash. That he's simply converting the amount UNVC owes him for benefits "earned" into shares of UNVC stock. "reinvesting" by eliminating the debt of benefits "owed" to him. Those benefits owed would never be paid anyway since UNVC has no operating business to generate cash.
