In accordance with our Corporate Governance Guidelines, Nasdaq separates the roles of Chairman of the Board and President and Chief Executive Officer. We believe that this separation of roles and allocation of distinct
responsibilities to each role facilitates communication between senior management and the full Board about issues such as corporate governance, management development, succession planning, executive compensation
and company performance. Nasdaq’s President and Chief Executive Officer is responsible for the strategic direction, day-to-day leadership and performance of Nasdaq. The Chairman of Nasdaq’s Board provides guidance to the President and Chief Executive Officer, presides over Board meetings, including Executive Sessions, and serves as a liaison between the President and Chief Executive Officer and the other directors
