I think this "blackout" business is a charade, a made up response to a potential criminal investigation whereupon the CEO can claim he was told to "clam up" by his company attorneys, and that we will not know if that is the case or if it occurred, was reasonable, because of attorney-client privilege. A clever ploy to avoid facing the music.
