I believe it is 3 days, and no, negotiations are not part of the material things that must be disclosed. Proposals or agreements for mergers or acquisitions must be, but until they agree on the proposal, which I believe they are still hammering out (partnership), there is nothing they need to tell us yet.
Examples of material information include information regarding dividend changes, earnings estimates, changes in previously released earnings estimates, significant merger or acquisition proposals or agreements, major litigation, liquidity problems, and extraordinary management developments.
