Years ago I was taking a seminar at a meeting and the talk was about professional liability of all sorts. It was your basic CYA. I specifically remember the topic of Board participation. The speakers advice was: “Don’t do it!! It is an ego trip that can become a legal can of worms.” I am very surprised that these intelligent people on our BOD are seemingly oblivious to the potential liability of their nonaction. Head in the sand is not a legal defense. When the smoke clears around matters GNBT, Joes explanation for the past 7 months will have to be bullet proof, or they will be be complicit. As someone said earlier: “expect some resignations”. I am dumbfounded we haven’t seen any so far. Either they know something we don’t or they are clueless about their exposure to potential liability.
