In one of the first decisions of its kind, a toxic convertible note lender that moved to dismiss our clients, an OTC Markets Group issuer, counterclaim raising the "Dealer Registration" argument that the toxic lender failed to register as a dealer before entering a securities transaction was DENIED. While only at the motion to dismiss stage, this important decision aligns with recent court decisions in SEC enforcement cases wherein other federal courts have denied motions against dismissing similar claims made by the SEC.
