Doc, in response,
The SEC launched an investigation on Pink Sheet Fraud in September https://www.reuters.com/business/finance/us-p...021-09-23/
According to https://www.securitieslawyer101.com/2012/otc-...isclosure/ the OTC Pink Disclosure Obligations are listed.
The OTC has the following information about NUGX https://www.otcmarkets.com/stock/NUGX/security
If anyone would qualify to be looked at, NUGX would be one.
In the beginning, NuGenerex dividend shares were issued and held in our name/brokerage by… can’t remember the financial business.
Then the bogus NUGX ticker was created and shares began to be traded. Leaving questions.
How is/was ownership detailed/confirmed especially since there are no paper stock certificates?
Are the electronic share legitimate?
Does the original financial business that held the NuGenerex share have control anymore?
I bought NUGX share many months ago to level up to an even 1000(s) share total. So…
Do I really own these shares?
Are they legitimate shares?
Does NuGenerex know I own these bought shares so when they need to be exchanged for the new Class A shares, I get credited?
The IPO can’t happen until the NUGX fiasco is fixed. The IPO also requires a Quiet Period before launching. If Joe started the Quiet Period before the investigation and the investigation is delaying the IPO, then if he breaks the Quiet Period, once the investigation ends, the Quiet Period would have to start all over again. But if the Quiet Period is maintained, the IPO could be launched immediately after the SEC clears NGIO of any wrong doing.
As far as the 10-Ks, even though the SEC investigation was launched in September, after the NGIO/GNBT fiscal year ended but before the 10-K requirement, Joe and his team might be trying to clean-up the NUGX mess for the 10-K. That way they will have a clean slate moving forward, especially if they want to launch the IPO before the next 10-Q.
On the good news side, I see (if it holds up) that there is only N/As showing on the NUGX Quote page https://www.otcmarkets.com/stock/NUGX/quote
Maybe this is the start of NuGenerex NUGX trade suspension.
Just my take.
