Good question!
I don't know the answer but I know they have a duty to protect shareholders from the actions of the management team. That is their primary responsibility. Whether they are being compensated or not.
Are they having BOD meetings? Did they receive the FoFaN letter? Why is there no ASM for the second year in a row?
