I have seen this same question on all of the stock boards today. Very transparent that many are all operating out of the same script today.
Answer is simple math:
If you have high 40s%, such as 48%, voting with the management Blue Proxies, and you have low single digit percent, such as 3%, voting with the 13D White Proxies, in total you have 51%, but withholding those 3% prevents 50%.
