The company needs to negotiate from a position of "we're not desperate."
If they have the capability of another 200 million shares they can issue, then they won't get backed into a corner and forced to take a bad deal. They can say "Fine, we'll just do it on our own, see ya."
You don't want them to have to take any old crap deal because the company can't get funding.
