The 13d had to change their proxy in response to Cytodyn's accusations. Right there is an implicit admission to some of the accusations. Others have not been addressed such as Rosenbaum stating that IncellDX would merge with Cytodyn thereby creating a conflict of interest for Patterson. There are witnesses to that statement and possibly an audio recording. Since that conflict of interest and others are not addressed in the proxy the proxy is still out of compliance.
