Solicitation does not occur at the time of voting it occurs before voting so whomever is doing the soliciting has the proxies in hand to vote. This is a notice of solicitation that must be filed 10 days before the solicitation material is sent.

That is an SEC document they must file detailing the reason for the proxy solicitation. Expect nothing else... as you say a bad situation.
