What if we're trading Elto to Emor for manf , and still getting the $66 million?

Emor isn't going to have 66 million to give us when the time comes, so the deal is clearly off, but how were getting out of it is unclear. Probably not for free . All I know is fumi urano needs $10m a year to crush manf through clinicals and is waiting for the right time to make an announcement.
