Also, the 8K for the current China deal specifically spells out the Licensed Territory as being China:

"the People’s Republic of China, including Hong Kong Special Administrative Region and Macau Special Administrative Region, but excluding the Islands of Taiwan (the “Licensed Territory”)"

I'm not an attorney, but I'm confident that if your Excellagen offer in the event of a vaccine failure is for another region/regions outside of the Licensed Territory covered in this deal, it would need to be spelled out, since you went as far as to spell out the payment details. Otherwise, what areas does it cover? If I follow your logic, you could have put any/all regions in the kitty.

And as far as your point that the transfer of China rights to ANY legit, approved drug wouldn't rise to a level of an 8K per your lawyers, I would have to question that.

A reasonable person could look at the information and believe the vaccine failure option is for China and also question whether we have retained those rights.
