Class A Common Stock automatically converts into Class B Stock 18 months after the closing of the IPO.
Also, the Company may convert all or a portion of the Class A Common Stock into Class B Common Stock
at any time during the period that begins 270 days after the IPO closing date and ends the day prior to the 18
month anniversary date of the IPO closing date. The Company will base any decision to convert the Class A
Common Stock to Class B Common Stock on prevailing market conditions and on whether or not such
conversion is in the best interest of the Company and its shareholders
