Can someone please confirm this interpretation of how the BOD is elected? I am not questioning what is written... just the meaning of what it is saying. My interpretation is that it is saying the BOD is elected by only the people that attend the annual share holders meeting and you can not bring votes foreword any other way but in-person voting.
Can someone please give us their interpretation of the below paragraph and what they believe it means? I live in Washington State and with covid going away most likely will attend the annual shareholder meeting. It’s kind of in my back yard so to speak.
The five nominees for election as directors at the Annual Meeting who receive the highest number of affirmative votes will be elected, provided that a quorum is present at the Annual Meeting. Stockholders are not permitted to cumulate their votes for the election of directors. Votes may be cast for or withheld from the directors as a group, or from any individual nominee shares that are not represented at the Annual Meeting, shares that are withheld and broker non-votes, if applicable, will have no effect on the outcome of the election.
