Hey 911$, please point to a post that anyone said that a dark non-reporting company can up list to Nasdaq, give that concern a rest.
"--- unless it is a 'new' company via a direct listing", please show me where "direct listing" is available to any 'reporting' company.
You can't because direct listing is available ONLY to PRIVATE companies. Simple as that. Period.
Who said their is a legal path from Dark OTC to Nasdaq? Not me.
Again a 'dark' company can't up list to Nasdaq, most know that. Most also know that all Doc has to do is become current with audited financials and meet the Nasdaq requirements.
Let me type this in crayon, if Doc reported all required financials up thru the Dec. 31, 2020 financials, on Monday, UNVC would be 'current'. Agreed? Therefore, lacking the 2021 first quarter financials, he is immediately in the "quiet period" that ALL reporting companies have to observe, until they post the first quarter financials. Therefore, technically he is in a quiet period only because if he reported financials without the 2021 first quarter, he has to be silent until he posts the first quarter numbers. Not rocket science, just the truth.
Your post speaks volumes on your intent or intelligence (I do think it is 'intent').
