1 Mr. Squires was granted five-year options to purchase 15,000,000 shares of common stock, exercisable at $.12 per share, with one-third vesting on July 1, 2017, one-third vesting on July 1, 2018 and one-third vesting on July 1, 2019. These options are granted outside of any stock option plan and shall contain cashless exercise provisions.
2 Mr. Squires was granted an additional 10,000,000 five-year options, exercisable at $.12 per share, with vesting to occur only in the event that the outstanding shares of the Company's common stock reaches a market cap of at least $100 million for at least five consecutive trading days or control of the Company is sold during the term of the options based upon a purchase price paid to the Company and/or its shareholders of at least $90 million.
