My thoughts as to why:
1) Because CYDY management style of financing has always been kick the can down the road and hope the SP explodes before they have to sell more shares; and
2) Because CYDY needed cash and this was the only way to raise it without going back to Paulson-style raises (i.e., below market offering with warrant coverage).
