Materiality is pretty much akin to "market-moving" information. Put another way, it is material if there is a substantial likelihood the info would be considered important to a reasonable investor in making an investment decision.

As someone else mentioned, if an insider purchases/sells in line with a trading plan complying with SEC Rules and pre-cleared by the company's insider trading compliance, none of the above applies.
