$WPNNF undertaking a non-brokered private placement of up to 10 million units (the "Units"
at a price of CDN$0.10 per Unit for gross proceeds of up to CDN$1,000,000 (the "Offering". Each Unit consists of one common share of the Company (a "Share" and one Share purchase warrant (a "Warrant". Each Warrant will entitle the holder to acquire one additional Share at a price of CDN$0.20 per Share, for a period of 24 months from the date of issuance.
