Yep. I agree. Im just stating that they have somewhat of a back up plan when this gets rejected. 
They can also come back and ask for a smaller amount of shares. I would be more likely to vote in favor of 5-10 million and a subsequent ask at a later date, after we see how they spend this 5-10 million.
Just my 2 cents.
