I think we are missing the point of the "effect" of an 10-12G.
What changes when that form goes into effect? The company is required to be, as Joe has touted in NGIO PR's, a "fully reporting company with the SEC".
What is in effect is that they are required, from that "effective date" (60 days after the first 10-12G was out), to file quartly and annual reports, 8-K's, etc. - appropriate paperwork with the SEC. The registration in question from the title of the form (Initial Form for General Registration of Securities) is really with the company to the SEC.
