Hi TC,
I don't know about the timing but whatever shares sold regarding the $2M funding are restricted shares (restricted for 6 months)...normally a company sell restricted shares at a substantial discount than the current PPS since those investors can't sell those shares now but they are forking over $2M now...and in order to sell those shares after 6 months, the investors need to ask the company to remove the legend.
