If I remember correctly, parts C and D had formulas for how they would arrive at the price per share and number of shares sold. Paul is suggesting that if this S-1 got approved with, what I will call "realistic"lower) numbers, then they would not be able to alter it for higher share sale amounts without an amended S-1 and more waiting.
