Bobby - ok then why did Mulholland say on a conference call recently that NASDAQ needed the 10K to complete its review for uplist request?

There seems to be some confusion here. I'm not Bobby, but I am assuming you were directing the question to me.

So, let's break this down:

Everyone, this is very basic stuff.
You should all know what a 10K is -- and how to read it.

Bobby -- purpose is it's required for NASDAQ uplist

No. Incorrect.

A SEC 10-K is a comprehensive report filed annually by EVERY publicly-traded company about its financial performance and is required by the U.S. Securities and Exchange Commission (SEC). A 10-K contains audited financials.

Similarly, a SEC 10-Q is a comprehensive report filed quarterly by EVERY publicly-traded company about its financial performance and is required by the U.S. Securities and Exchange Commission (SEC). A 10-Q is generally an unaudited report.

Publicly-traded companies must generate these reports for every quarter and every year.

Although NASDAQ will be reviewing the 10-K and the audited financials -- the purpose of a 10-K has nothing to do with uplisting.

Hopefully this is clear now. Every publicly traded company has to file a SEC 10-K and 10-Q -- whether they are uplisting or not. And they have to do it every quarter and every year.

So, clearly, the purpose of filing a 10-K is not for uplisting.

As I mentioned, NASDAQ will be reviewing the 10-K and the audited financials so that we can uplist -- but the purpose of a 10-K has nothing to do with uplisting.
