I have been following this Message Board for some time and have found it full of good information, unlike the GNBT Yahoo conversation board. I have been waiting for someone to pick-up on the last SEC NGIO 8-K info, but since it has not been mentioned, I decided to join the board to get a response if possible.
In the last NGIO 8-K Exhibit 4.1 REGISTRATION RIGHTS AGREEMENT there is the following:
REGISTRATION
Mandatory Registration. The Company shall, by July 31, 2020, file with the SEC an initial Registration Statement on Form S-1 covering the maximum number of Registrable Securities…
In the last NGIO 8-K Exhibit 10.1 EQUITY PURCHASE AGREEMENT there is the following:
CERTAIN DEFINITIONS
“Commitment Shares” means 300,000 shares of Common Stock issued by the Company to the Investor pursuant to Section 6.5 having an aggregate market value, based on the estimated initial public offering price of $5.00/share, of $1,500,000.00, and adjusted for any reorganization, recapitalization, non-cash dividend, stock split or other similar transaction.
There is also in the 8-K body a complex calculation for Oasis Capital Put Shares with a price between $6 and $7.
So it would seem that the NGIO S1 must/should be posted by next Friday with an initial share price of $5 min to $7? max. Thoughts anyone?
