I believe you are wrong on both counts.
If you exercise your warrants and the strike price is below the market price, you have a taxable event.
Placing an order above the market does NOTHING. Only way to guarantee the shares aren't borrowed is to open a cash account and not use margin. Can't believe how often this misnomer is perpetuated in forums.
