S-1 that has been filed is for the GNBT funding. The shares will be issued at a price of 5 consecutive days’ closing price, and GNBT gets 92 cents on the dollar. Those shares can then be sold onto the market... I don’t think there is a mandatory delay to sell, but I can’t remember for sure.
NGIO Form 10 will either be approved before next Monday, 5/11 or approve automatically if it is not denied for some reason.
NGIO S-1 is ready to file after the Form 10 approval, as Paul said. That should show us the final share count and pricing (currently 400MM shares to be issued of 750MM approved... the rest will stay in the treasury off the market). Per Joe, NGIO “has no hair on it”, so the S-1 should be relatively quick for the SEC to review (and approve?!). I believe when I looked at the timeline I guessed early/mid June for NGIO shares trading... we shall see!
