You may have missed this but the Generex S-1 is in the hands of the SEC. GNBT has responded immediately with any questions from the SEC.
There is no raising money the way you suggest without pulling the S-1 and than you have to start over because you would have changed the whole dynamic. Could affect NGIO Form 10/S-1 also.
