Non-dilutive? I do not get it.
The investor can convert at $4.50 which means that he gets 3.333.333 shares at $4.50 plus 10% interest per year.
Interest rate seems quite high to be honest, and for me it is not non-dilutive as the investor gets 3.333m shares.
