Those following along at home may remember that CYDY raised approx. $0.9M several weeks ago through a Series D Preferred Stock Offering.
Apparently, that offering was not a registered offering, so it was an exempt offering in reliance upon Reg D of the Securities Act (all sales of securities must be registered or exempt).
This filing is Form D, a notice filing required by the SEC in connection with any Reg D offering.
The filing must be made within 15 days of the date of first sale under the offering.
If you note in the form, the amount sold is approx. $0.9M.
In other words, this is NOT a new sale of securities, but a clean-up/housekeeping notice from the offering a few weeks ago.
