On February 5, VERB initiated their "Private Placement"

Was there a 'deal' roadshow prior to that date so institutional investors can make informed decisions whether to buy in. I don't know, but we never heard that there was so assume there was no roadshow prior.

On February 25, 2020, Verb had an initial closing (our “Initial Closing”) of a private placement for $1,933,000 or let's call it 2-milsky for short.

Still no roadshow so this is very different than the "Public Offering" done last year. Remember last year, roadshow happened prior to their book building of orders.

VERB also has agreements in place to sell another $1,434,000 worth. Let's call that one and half milsky

That leaves about two and a half milsky left, available for sale up until March 31st.

For the Asia trip, we know there may have been two and a half milskies left for grabs

I assume the private placement and Asia trip were planned way in advance

Now if VERB wanted to do a roadshow. wouldn't they have done that first like last time?

I said quite awhile ago, VERB should raise as much money as fast as they can and blow this up.

A lot of public SaaS tech companies could be profitable anytime they want, but that would slow growth down a lot which is why Salesforce, Hubspot and many others didn't years ago.

If Saas tech stocks aren't someone's strength, think about real estate investing. Are you going to buy an investment property and wait 30 years until you pay it off to buy another one? You could, but you'd' need to be immortal to have a sizable number of investment properties in your portfolio.

Leverage is a powerful tool to grow a business

Rory clearly states both options in the video

participating in an ownership interest in the company
buying in the open market

One of the purposes of a non-deal roadshow is to recruit new shareholders

Google it, it's true and common sense or why even do it.

Private Placements are usually open to accredited investors. I bet Rory met some accredited investors. I bet they had a choice of doing a private placement, buying in the open market or sitting on their hands.

Being able to raise $3.5 to $6M milsky is a very good thing

Now one question you may want to ask yourself

Why not only raise $2M now and some more later on?
