If I’m not mistaken joe talked about 3 options for getting to Nasdaq in a conf call. Maybe October before the div delay. Option 1) was merge into a naz listed shell which he said was too expensive. Option 2) was and OTC ready to list co (as I described) which they have already purchased and did not require a filing so it was cheap. And Option 3 may have been to spin into a new company and go through the whole uplist process (not sure on this one) going off memory but at any rate that would take too long.

Ultimately he said this was the cheapest fast way to get there.
