Doc, while I understand your intentions, I have to question your concept here. I have been around contracts and agreements a large portion of my professional life, and to my knowledge, there is no such thing as an ironclad agreement - if somebody wants to break an agreement (risking going to court for breach or fraud), they do it. It is usually done when the party calculates that the penalty for the transgression will be less than the gain from it.
I believe CMF and Veneto both understand that GNBT is currently in a precarious position, financially, time wise, and publicity wise. I think both took advantage of that "weakness" and pursued breaching the agreement because they were betting GNBT did not have the resources or time to go after them until the process was complete. I think they are also betting GNBT will negotiate a settlement with them to stay out of the courts, and that that settlement will not cost them anywhere near what they gained from the illegal sales.
If you truly believe there are ways that you can absolutely prevent fraud or breach in a contract, you have discovered something that I don't believe currently exists. That solution has the potential to make you a very rich person...if it doesn't involve killing someone illegally! LOL.
