Yes, I am sure the deal is complicated. But that being said, there is nothing new here. All of these issues have been dealt with by other companies in the past. This is when you need a good legal team with a lot of experience and they can present the 3-4 different ways to address each of the issues.

As NP mentioned, product returns/recalls, that is an issue for every licensing deal. Therefore, it has been addressed many times and should be relatively easy to resolve from a legal language standpoint.

Bottom-line: with good counsel, it shouldn't take this long to iron out even a very complicated deal. They are not inventing the wheel for the first time.
